Advised Hili Premier Estates Romania with the signing of a €15.4 million facility agreement and related security package concluded with OTP Bank Romania for refinancing of a loan contracted for the development of a building in Bucharest of approx. 18,000 sqm.

Advised Atenor/Nor Residential Solutions in relation with the development, financing, and sale of the mixed-use (residential and retail) project UpSite Bucharest, the first
residential project of Atenor in Bucharest of approx. 29,300 sqm residential (268 apartments) and 1,950 sqm retail to be developed in two residential high-rise buildings of 14 and 24 floors.

Assisting Atenor with the development, financing and leasing of @Expo project, a smart business campus in Bucharest of approx. 54,000 sqm offices and 950 sqm retail located at the Expozitiei area.

Assisting Liberty Technology Park in relation with the development, financing and leasing of an office project located in Cluj-Napoca, Cluj County (a modern industrial park designed for office use, comprised of 5 Class A office buildings, with additional 3 ha of land for further development, in Cluj-Napoca).

Advised Liberty Residential in relation to the development, financing and sale of a residential project located in Cluj-Napoca, Cluj County, which comprises two buildings with a height regime of Ground floor plus 6 floors, each building including a number of 134 apartments.

Assistance provided to Shikun & Binui/Point Development in relation to the development and sale of the apartments and villas in the residential projects New Point 1, New Point 2 and New Point Villas. The projects consist of (i) New Point 1: 6 buildings, with a height of 9 floors, with 68 apartments for each building (i.e., 408 apartments in
total), (ii) New Point 2: 6 buildings with approx. 600 apartments in total and (iii) New Point Villas: 126 villas.

Assistance provided to Civitta Strategy & Consulting on drafting guidelines and procedures for implementation of the Urbanism Code and with other legal matters raised under the contract having as subject matter the “Procurement of expert services for the elaboration of three procedures in the field of town and country planning and building permitting, a cooperation protocol, five guidelines, three control procedures, a cost and quality standard for the elaboration and updating of spatial planning and town and country planning documents and for participation in regional dissemination sessions within the SIPOCA 50 project” concluded between the client and Ministry of Development, Public Works and Administration.

Assisted Ox2 AB Stockholm with the review and negotiation of a FIDIC-based Plant – Conditions of Construction Contract to be signed with the contractors of the wind farm with a capacity of 99 MW located in Galati County, as well as with the review and negotiation of the direct agreement to be signed with the final investor of the project. The assistance also included advice regarding various permitting and regulatory matters related to the development process of a wind farm in Romania, both for real estate and energy aspects and revision of various agreements related to the organization of the construction works, such as the project management agreement.

Advising SKV Properties with the sale and the leasing of apartments and commercial spaces within Gafencu Project. The project is located in Bucharest, 49 Grigore Gafencu St., 1st district, being a mixed-used residential and office project located in the luxury area of the North of Bucharest, having a built-up area of 35,000 sqm and comprises 124 apartments.

Assisted CPI Group in the partial sale of IRIDE Business Park to Alfa Group, in a transaction valued at over €45 million. The transaction encompassed not only the acquisition of office premises, but also related logistical facilities essential to optimize Alfa Group’s future operations.

Assisted Global Vision in a large transaction having as purpose the sale of three important logistic and industrial projects developed in association with Globalworth, to the Romanian subsidiary of Warehouses De Pauw, in a transaction valued at €110 million. This was a very complex transaction, given the interplay of financing, real estate, merger control and foreign direct investments screening aspects.

Assisted in the sale of MedEuropa Romania, who operates four medical centres in Romania (Constanta, Bucharest, Brasov, and Oradea) to Affidea, Europe’s largest provider of advanced diagnostics, multi-speciality polyclinics and Centres of
Excellence. The transaction was completed in a relatively short period of time (i.e., 6 months from the start date until closing), given its complexity, which included also obtaining the antitrust clearance as well as the foreign direct investment clearance.

Assisting Renergy Power Plants on several large-scale acquisitions of land for the development of several photovoltaic projects across Romania, permitting and development of photovoltaic projects and then share deal transactions.

Successful assistance for a private individual in the procedures against the (NCREC-ANRP) National Commission for Real Estate Compensation for granting compensatory measures for a property abusively taken over on the basis of Law 165/2013 on measures to complete the process of restitution, in kind or by equivalent, of properties abusively taken over during the communist regime in Romania. The matter was of particular interest as the legislation in this respect just entered into force last year, no jurisprudence was available and a final and favourable decision was obtained in ;less than a year, which is really a rare thing in such matters (considering that initial restitution process was started in this case more than 25 years ago). Since this was a novel legislative measure, the litigation followed an uncharted course as there was no established practice and various interpretations of the law, and resulted in the client being awarded the full extent of compensatory damages.

Advising Nofar Energy, a global leader in renewable energy investments, and its Romanian subsidiaries, on a package of EPC, O&M, and PV Modules supply agreements, for the purposes of Nofar’s large-scale solar projects in Romania. So far, the firm advised Nofar on negotiating and concluding: (i) the EPC turnkey and O&M agreements with AJ Construction for the 73.6 MW Slobozia photovoltaic plant; (ii) the EPC station turnkey agreements with Energobit – Siemens Energy consortium for two photovoltaic projects of 315 MW; (iii) the EPC and O&M agreements with CJR Renewables for two photovoltaic projects of 315 MW; (iv) a 576 MW supply agreement with photovoltaic manufacturer LONGi Solar for €76.6 million ensuring the purchase of panels for three photovoltaic projects, this being the largest agreement to date for solar modules delivery to Romania.

Advising Nala Renewables, a global power and renewable energy investor, on the acquisition of a 61 MW photovoltaic project under development from one of the largest Romanian developers. In addition to the M&A aspects (due diligence, regulatory approvals, transaction documentation), the firm advised on the drafting and negotiation of construction (EPC) and operation and maintenance (O&M) agreements with third party providers, as well as on review and advice regarding real estate ownership title and complex permitting issues related to land development.

Advising Enery Development, a major regional renewable energy investor, in relation to the project financing for Sarmasag project in Romania. The financing was provided by UniCredit Bank Romania and the proceedings will be used for the development, construction and operations of a 51.4 MW DC photovoltaic plant in Salaj County. In addition to advising on financing and project documentation, the legal assistance also included advice on the EPC contract (tender and negotiation), O&M contract and on PPAs (bankability aspects).

Advising a global leader in hospitality in relation to all aspects related to the conclusion of the franchise agreements for three new hotels opened in Western Romania, including a newbuilt project in Timisoara. The firm has been advising the client in relation to its expansion plan in Romania for many years, including on opening hotels in other large cities.

Advising NEPI Rockcastle in connection with its latest green bonds issue, worth €500 million. The transaction continued a long collaborative relationship between the law firm and the leading real estate developer and investment group in Central and Eastern Europe. Among others, the team advised NE Property B.V. in the implementation of the €1.5 billion Guaranteed Euro Medium Term Programme guaranteed by NEPI Rockcastle plc, as well as in the launching of the €500 million bonds issue under the programme. Providing legal advice to one of the leading banks in Romania regarding the annulment/suspension of zonal regulatory plans (Rom. “PUZ”) in Bucharest. The purpose of the requested opinions was to evaluate the risks of certain loans guaranteed by real estate assets to be built within the areas regulated by the PUZ.

Provided legal and administrative assistance regarding the real estate holdings of two French property owners in Romania, totalling more than 2 ha of land located in an urban area across six plots. The transaction was signed in March 2024 and closed in May 2024. The portfolio included nearly fully let logistics and light-industrial facilities located in Chitila and Afumati (near Bucharest), Oarja (near Pitesti), Giarmata (near Timisoara), Oradea and Arad. Assisted Genesis College on drafting, negotiating and closing of the lease agreement for the Client's new premises, as tenant, with OMV Petrom, as lessor. The new "Genesis College" building in Coralilor Street will have a surface area of 10,000 sqm and will be able to accommodate up to 1000 students. The new building will have plenty of natural light, ventilation and air purification systems, indoor gardens, relaxation areas, cafeteria for students and teachers, laboratories, sports areas and interconnected workspaces. With a history of over 25 years, Genesis College founded by Romanian entrepreneur Ioana Necula expanded its educational space by renting a 9-storey building from OMV Petrom in the north of the capital.

Assisted Sopsa Eco Innovation, a Portuguese environmental services company, on the lease agreement concluded for premises covering 6,400 sqm in Eli Park 4, outside Bucharest. This was one of the biggest industrial leases concluded on the Romanian market last year and marked their client's entering the Romanian market.

Advised one of the largest suppliers of cement, aggregates and concrete for the construction sector in Romania, on various real estate matters related to a wind farm project that directly supplies its cement factory in Medgidia, including superficies and land sale purchase agreements.
