Assisted the founding entrepreneurs and shareholders of Romanian Software (Colourful HR) in the process of selling the company to the Belgian SD Worx group, the leading European provider of human resources and payroll solutions, as part of its expansion strategy on the European market. The firm provided assistance to clients from the early stages of discussions and signing of the non-binding agreement, assistance during the due diligence process performed by the buyer, but especially during the negotiations of the final commercial terms of the transaction and the related legal documentation.
Assistance to UCM Resita, under judicial reorganization, in the transfer of business - through the newly established company, Uzina de Constructii Masini Hidroenergetice - to Hidroelectrica, the largest Romanian green energy producer. The firm’s multidisciplinary team of professionals has acted as part of the consortium of judicial administrators of the debtor UCM Resita, and efficiently coordinated the procedure of this important company in the Romanian economy, managing to maintain it on the profile market and, finally, to implement through the reorganization plan the business transfer transaction to Hidroelectrica in order to further capitalize its industrial potential and strengthen the buyer’s market position.
Legal services provided to Proxima Expert in a M&A transaction involving the sale of the company to a buyer looking to further develop the company's potential by accessing European investment funds. The first stage of the transaction was related to the preparation of the company for sale, which involved legal and tax aspects including drawing up the inventory of the company's assets and liabilities, ensuring the due diligence process of the company and the several stages of increase of the share capital by loan conversion. Services provided in the second phase covered assistance during negotiation with the buyer, drafting the transaction documents including the mortgage contract for ensuring the payment instalments.
Legal advice to a multinational consulting, technology and management services company in connection with the merger and integration of a Romanian company delivering advanced System-on-Chip solutions to leading semiconductor and systems companies. Real Estate
Assistance to a major retailer active on the Romanian market, part of a Germanybased group active in 14 European countries in the process of all related steps for opening new stores expanding its retail network in Romania, as part of an aggressive market coverage strategy. Rendered services include conducting due diligence legal investigations on real estate acquisitions, negotiation and drafting of transaction documents, as well as assistance in completing transactions. In addition, the assistance covers also revising and negotiating project management agreements, general constructor agreement and agreements with sub-contractors, constructions design, general undertaking agreements, agreements with public utilities suppliers etc.
Legal assistance to a subsidiary of a German Telekom company delivering professional and administrative HR services within the Group on real estate in relation to leasing of office space for its offices situated in several major cities in Romania. Litigation and Dispute Resolution
Successful assistance and representation of MAN Energy Solutions UK in an arbitration procedure in front of the International Chamber of Commerce in the litigation initiated by Nuclearelectrica, the Romanian nuclear energy production company. The claim pertained to damages requested for so-called refusal of the client to conclude a subsequent contract to a public contract having as object procurement of maintenance and repair services for equipment in Cernavoda Branch based on the non-fulfilment of the obligations of a framework agreement governed by Swiss law.
Assistance and representation to a chain of supermarkets part of the French well-known group in a wide range of disputes resulting from its commercial activity throughout the country from challenging the administrative documents issued by competent authorities during controls, representation of the client in insolvency cases of its suppliers, litigations arising from work accidents to representation of the client in litigation cases having as object clients’ petitions, disputes with suppliers among others.
Representation to the local vehicle of an American multinational corporation in two complex labour litigation files having as object the complaints of former employees against their dismissal decisions (following the restructuration process in the company) with favorable decisions for the client.

Successful assistance to a Polish company specializing in urban, railway and energy infrastructure in relation to its participation to the tenders organized by the National Railway Company (CFR SA) for the execution of rapid repair railway works for 140 kilometres on the railway lines: Apahida-Baia Mare (27 lots), Razboieni-Episcopia Bihor (17 lots) and Arad-Oradea (2 lots), and conclusion of the public sectoral contracts (45 contracts).
