RTPR Allen & Overy has advised the Japanese group Asahi Group Holdings, Ltd. on the acquisition of Ursus Brewery, one of the largest beer producers in Romania. The transaction in which Asahi group purchased the SAB Miller beer producers in the region covers five markets – Romania, Poland, Czech Republic, Slovakia and Hungary – and is estimated to be the largest M&A transaction in Romania this year. Musat & Asociatii has assisted Emerson SRL, a subsidiary in Romania of Emerson Electric on the separation of the activity of Emerson Network Power toprepare it's transfer to the US investment fund Platinum Equity . The transaction was conducted globally and has a value of around 4 billion USD. Emerson reported sales of $ 4.4 billion globally for the Network Power business during 2016. ...more »

PeliFilip advised Anchor, the real estate and development group, with respect to the merger of the Romanian group companies owning and operating București Mall and Plaza Mall. The process was designed as a merger through absorption, under which the entire patrimony of the Plaza Mall shopping centre was transferred to București Mall. MJ Maillis, the company known for industrial packaging solutions and complete end of line solutions, sold its production facility located on the Bucuresti – Târgoviște road to the plastics manufacturer Prodplast SA in a transaction of over 1.5 million EUR. The seller was assisted in this transaction by law firm Peli Filip. The assistance included organizing the due diligence analysis on the vendor side, independent due diligence investigations, negotiations and assisting with all other transactional aspects....more »

Casa de Insolvenţă Transilvania, in charge with the bankruptcy of Swan Property, announced the sale of insolvent office park Swan Office & Technology Park to Smartown Investments for EUR30.3 million, a price higher with 50 percent than the price approved by creditors. CITR declared it has promoted the office project to more than 150 investors in Romania and abroad, as well as to the clients in the company’s portfolio. ...more »

Two private postal and courier companies changed hands in a transaction amounting to several million euros as estimated by market sources. Romanian entrepreneur Octavian Radu, owner of retailer Diverta acquired Total Post and Post Master aiming to form a larger entity that would become a direct competitor to the national postal company Posta Romana. The Financial Supervision Authority (FSA), represented by Musat & Asociatii, won the final process initiated by Fondul Proprietatea SA, through which the Fund requested the Authority to approve changing the fee agreed with the Fund Manager, Franklin Templeton Investment Management Ltd . The litigation was initiated in 2012, 2 years after the conclusion of the administration of Franklin Templeton Property Fund when the Fund's shareholders decided to change the structure of the fee set by the management agreement concluded with Franklin Templeton, asking the opinion of the FSA for this increase, according to the law. ...more »
