The legal assistance covered all stages of the transaction including advice on structure of the joint-venture arrangement, drafting, revising and negotiating various transaction documents, including shareholders agreement and development services agreement, adjusting financing arrangements for the new partnership, sell-side assistance on the FDI clearance procedure, and closing activities. Nyerges & Partners continues to advise R.Power on project implementation.

The project legal team was coordinated by Horia Ispas (Partner) and included Mihaela Nyerges (Managing Partner) overseeing energy and M&A-related matters, Mihaela Spiridon (Counsel) advising on real estate matters and Larisa-Alexandra Nicolae (Managing Associate) dealing with corporate, FDI screening and financing-related matters.

“We are excited to have supported R.Power in developing this strategic partnership. We enjoyed working alongside R.Power’s proficient team, both at Polish headquarters and locally and we are proud to contribute to the transaction’s success. The project marks a significant milestone in expanding R.Power regional footprint, while enhancing local grid flexibility and renewable energy integration. This deal reflects the increasing importance of storage in Romania’s energy transition. Not least, I thank our entire project team for their dedication and for proving Nyerges & Partners’ strong expertise in all practice areas relevant for this M&A deal. Our team combines extensive transactional experience with an in-depth understanding of the sector’s specific and regulatory dimensions, enabling us to proactively safeguard our clients’ investments,” stated Horia Ispas, Partner at Nyerges & Partners.

Klaudiusz Kalisz, Member of the Management Board of R.Power S.A., supervising the transaction, commented: “The Romanian market is one of R.Power’s key strategic markets for the development of renewable energy, including large-scale battery storage. That is why it was essential for us to work with a law firm demonstrating an excellent understanding of the Romanian energy market and the specific regulatory landscape.
