Noerr advised Nidec Corporation in the acquisition of ANA IMEP

ANA IMEP, electrical engines producer from Pitesti, and with 49 year history in the national and international markets, was purchased in proportion of 94,8 % by the Japanese From Nidec Corporation, a world class electrical engine producer, listed at the New York Stock Exchange.

According to the Romanian company, the owners decided to sell in order to make room for future growth, giving that Nidec uses the highest production technologies, and is oriented towards developing new platforms for the auto, appliances, and industrial engines industries. Moreover, Nidec intends to invest substantially in improving the actual production capacity of the factory, and is planning to develop IMEP as an engineering and centralized services center.

This purchase is considered to be an asset for Nidec, since it will enhance their competitivity on the European market, and it will add valuable clients to their portfolio.

Over 10 million EUR were invested in ANA IMEP since 1996 by the previous owners. The company served as supplier for actors in the appliance industry like Indesit, Whirlpool, Vestel, etc.

German law firm Noerr assisted Nidec in this transaction, with a team of lawyers coordinated by Mihai Macelaru (Associated Partner & Head of M&A Practice), seconded by Cristina Stamboli (Senior Associate), while Roxana Dudau (Associated Partner, Head of Real Estate & Construction) and Luiza Bedros (Senior Associate) acted also as key figures.

Noerr has assisted the client during the entire transaction in all legal aspects related to the Romanian law, including the performance of the legal due diligence investigation over Ana‎ Imep and Ana Mep.
