Romanian law firm Nestor Nestor Diculescu Kingston Petersen assisted Lafarge in connection with the sale of its domestic assets as part of the 6.5 billion euro global transaction with Cement Roadstone Holdings (CRH) in the context of Lafarge and Holcim merger announced in April 2014.
The Ireland based company reached an agreement with Holcim and Lafarge for taking over their operations in several jurisdictions, such as France, Germany, Hungary, Romania, Serbia, Slovakia, UK, Canada, US, Philippines and Brazil.
Taken together, the assets that will be disposed generated estimated sales of 5.2 billion euro in 2014, with an estimated operating EBITDA of 744 million euro.
The divestments are subject to the completion of the merger, including a successful public exchange offering and approval by Holcim’s shareholders in the second quarter of 2015.
The NNDKP attorneys worked on the due diligence procedure of the seller in relation to all the eight companies Lafarge owns in Romania while providing legal advice during the due diligence process conducted by the interested investors and assistance with reference to the related documentation.
